This is an annual subscription requiring yearly payments; you can cancel with 30 days notice before the annual renewal date.
Trademark Monitoring Subscription Contract
This Trademark Monitoring Subscription Contract ("Contract") is entered into by and between Ospina Law LLC, affiliates & purchaser of this listing.
1. Scope of Services
The Service Provider agrees to provide the Client with trademark monitoring services, which include:
- Regular Monitoring: Continuous surveillance of the Client's trademarks in relevant jurisdictions.
- Report Generation: Monthly reports on potential trademark conflicts or infringements.
- This monitoring is for 1 trademark registration.
2. Subscription Term
This Contract is effective as of purchase date and will continue on an annual basis until terminatedby either party.
3. Fees and Payment
- Subscription Fee: The Client agrees to pay an annual subscription fee
- Payment Terms: Payment is due on the first day charged on an annual basis. Payment will be automatically charged to the Client's credit card or bank account on file.
4. Client Responsibilities
- Information Provision: The Client agrees to provide all necessary information and documentation required for effective trademark monitoring.
- Timely Communication: The Client must promptly communicate any changes in trademark status or concerns regarding potential infringements.
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding any non-public information exchanged under this Contract, except as required by law or with prior written consent.
6. Termination
- Termination by Client: The Client may terminate this Contract 30 days before annual renewal date.
- Termination by Service Provider: The Service Provider may terminate this Contract if the Client fails to comply with any terms.
- Effects of Termination: Upon termination, the Service Provider will cease all monitoring activities, and the Client will be responsible for any outstanding fees.
7. Limitation of Liability
The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising from the provision of services under this Contract.
8. Governing Law
This Contract shall be governed by and construedin accordance withthe laws of the State of NJ without regard to its conflict of law principles.
9. Entire Agreement
This Contract constitutes the entire agreement between the parties related to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
IN WITNESS WHEREOF, the parties have executed this Contract as of the date of purchase.
